Welcome to the internet-based proxy and instruction system for the Annual Shareholders´ Meeting of INDUS Holding AG on 20 May 2020.

On the following pages you have the opportunity to exercise your voting right by postal vote or by proxy and issue instructions to voting representatives, and also to issue proxies to third parties.

Access is possible until 19 May 2020, 8 a.m. CEST. Until then, you can vote by

• online postal vote using our online service,
• authorise your nominated voting representatives by exercising your voting right and issue them with instructions regarding the items on the agenda, and also
• grant proxies to third parties.

If you would like to use this service, you will need an entry ticket to the Annual Shareholders´ Meeting. You should request this from the company as early as possible, as noted in the invitation ot the Annual Shareholders´ Meeting, or if you wish to register via your depository bank, request it from there. In this regard, please note the deadlines specified in the invitation.

If you have received several entry tickets with different ticket numbers and relevant access passwords, you must repeat the process for each of your entry tickets.
